music match is very good for this -- that's how i convert my
mp3s to 128kps for uploading to mp3.com

use easy audio file converter...

you shouldn't have much trouble finding it on kazaa / warez

I use musicmatch but didn't think you could convert mp3 to
another bitrate of mp3...only wav to various bitrates. If
winamp didn't conflict with excel on my machine and
musicmatch didn't have so many useful features in one
proggie i'd ditch it right away cos it hogs so much system
resources =(

yeah - i make a copy of my high-bitrate mp3, open
musicmatch, gofile convert -- change the bottom WAV thing to
MP3, have the bitrate set to 128 and then convert! so easy!
:)

...and remember...a 128kbs MP3 encoded from a .WAV is gonna
sound better than a 320kbs MP3 converted to 128kbs MP3...
